Welcome to TalOS. These Terms of Service ("Terms") govern your access to and use of usetalos.com and the website development and AI-automation services we provide. By using our site or engaging our services, you agree to these Terms. If you do not agree, please do not use the site or services.

1. Services

TalOS provides website design and development, AI-automation configuration, digital consulting, and related services ("Services") for small and local businesses. The specific scope, deliverables, timeline, and fees for each engagement are set out in a separate project proposal or statement of work ("SOW") signed by both parties. That SOW becomes part of these Terms.

We reserve the right to refuse service to anyone for any lawful reason. All Services are provided on a commercially reasonable-effort basis.

2. Intellectual Property

Our IP. TalOS retains all rights, title, and interest in and to our proprietary tools, frameworks, software libraries, templates, AI models and configurations, design systems, and any pre-existing materials we use to deliver Services ("TalOS IP"). Nothing in these Terms transfers ownership of TalOS IP to you.

Deliverables. Upon full payment, we grant you a non-exclusive, perpetual, royalty-free license to use the custom deliverables (website code, copy, graphics, etc.) created specifically for your business. This license does not extend to TalOS IP embedded in those deliverables.

Your Content. You represent that you own or have the right to use any content, branding, images, text, or data you provide to us. You grant us a limited license to use that content solely for the purpose of delivering the Services.

3. Payment & Refunds

Fees are outlined in the applicable SOW. Unless otherwise stated:

Refunds. Deposits are non-refundable once work has commenced. If we fail to deliver the core scope described in the SOW within a reasonable timeframe and without a valid reason, you may request a partial refund of the deposit, pro-rated to the incomplete portion. Disputes will be resolved in good faith.

Payments not received within 15 days of the due date may result in a pause of Services until the balance is cleared.

4. Client Obligations

You agree to:

Delays caused by failure to meet these obligations may adjust project timelines; additional costs may apply.

5. Limitation of Liability

To the fullest extent permitted by law, TalOS and its owners, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of revenue, loss of data, or business interruption — arising out of or related to these Terms or the Services, even if advised of the possibility of such damages.

Our total liability for any claim arising under these Terms shall not exceed the total fees paid by you to TalOS in the 12 months preceding the claim.

Some jurisdictions do not allow limitation of liability for negligence or gross negligence; in such cases the above limitation may not apply to you.

6. Termination

Either party may terminate a project SOW with 14 days' written notice. In the event of termination:

We may terminate immediately if you breach these Terms and fail to cure within 7 days of notice.

7. Disclaimers

Our Services and site are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to merchantability or fitness for a particular purpose. We do not guarantee that the site or Services will be uninterrupted, error-free, or secure, though we take reasonable measures to that end.

AI-automation outputs are generated by large language models and should be reviewed by a human before use in customer-facing or legally significant contexts. We are not responsible for losses arising from unedited AI outputs.

8. Governing Law

These Terms shall be governed by and construed in accordance with the laws of [STATE], without regard to its conflict-of-law principles. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in [STATE].

9. Changes to Terms

We may update these Terms from time to time. The latest version will always be posted at this URL. Material changes will be communicated to active clients via email. Continued use of our site or Services after changes take effect constitutes acceptance of the new Terms.
